Existing users who have not accepted this version remain subject to the previous terms and the notice process in Section 16 of the Service Terms. Previous Service Terms.
1. Agreement and Scope
These Marketplace Terms are between you and Taku AI Inc., identified in the Taku Service Terms. They govern acquiring, downloading, installing, executing, remixing and otherwise using Listings through Taku Community and Marketplace. A Listing may contain an application, Skill, Agent, workflow, template, component or other published material.
You must satisfy the Service Terms' age and eligibility requirements, including being at least 18 and having reached the age of majority where you live. Before acquiring or enabling a Listing, you must be given access to these Marketplace Terms, the applicable recipient license and material permissions, and affirmatively accept the terms applicable to that action. Viewing public legal notices does not require acceptance.
The Service Terms and their common policies are incorporated into this agreement. These Marketplace Terms control conflicts specifically about Marketplace use and recipient licenses. The Publisher Terms apply separately to Creators and do not impose Publisher-only duties on someone merely installing a Listing. Mandatory consumer rights and third-party or open-source licenses remain unaffected.
Service Terms Sections 13–18 address liability, governing law and U.S. arbitration, including a 45-day opt-out. A valid previous arbitration opt-out remains effective; accepting this document does not reverse it.
2. Platform and Creator Roles
Taku provides discovery, distribution and related platform features. Each Listing's identified Creator or other rights holder grants the applicable content license. Taku grants that license only for content it owns or has authority to license. A Listing is licensed, not a transfer of ownership of the Creator's intellectual property.
Review the provider, version, license, permissions, external accounts, recurring third-party charges and privacy notice before use. Publication, ranking, review or a badge does not mean Taku endorses the Listing or guarantees its safety or legality. Nothing excludes Taku's own obligations imposed by mandatory law.
Third-party Creators are responsible for their stated support and external services. Their privacy notices govern processing they independently perform. Installing a Listing does not authorize undisclosed access to your files, credentials, messages or other data.
3. Default Community License When Expressly Selected
This license applies only when the Creator expressly selects it for the published version. A price of zero alone does not select this license. For that version, the Creator grants each Community user a worldwide, perpetual, non-exclusive, royalty-free license to:
- access, view, use and execute the published content;
- copy, remix, modify and adapt it into the user's own projects; and
- publish, distribute and commercially use a project created from it.
Before publication, the publishing flow must identify this license and require the Creator to confirm it. If no distribution license has been selected, the release is not ready for publication. The name “Default Community License” identifies this license, not consent inferred from an omitted field.
This Default Community License applies only to the specific Community Content intentionally published through the Community publishing flow. It does not apply to your private projects, unpublished drafts, prompts, Agent Memory, Screen Capture Data, workspace content or other User Content merely processed or shared through the Services.
The Default Community License does not transfer ownership, permit a user to claim authorship of the original content, use the Creator's name or trademarks, or resell or redistribute the substantially unmodified content as a standalone competing asset. Users must retain included attribution, copyright and license notices where reasonably practicable. A user may sublicense incorporated portions only as reasonably necessary to distribute or operate a project created under this license. Third-party and open-source components remain subject to their own license terms. Where an open-source or other third-party license applies to a component of Community Content, that license—not the Default Community License—governs that component.
To the extent a published Listing includes software, the Default Community License also includes a worldwide, perpetual, royalty-free, non-exclusive patent license under patent claims the Creator can license and that are necessarily infringed by exercising the rights expressly granted above. To the extent permitted by law, the Creator waives and agrees not to assert moral rights that would prevent modification or use authorized by the Default Community License. No rights are granted in the Creator's name, logo or trademarks except for included attribution.
The Default Community License is irrevocable for copies and rights validly obtained while the content was available under it. Removing content, closing an account or later enabling a paywall does not revoke licenses already granted. The change applies only to access occurring after the paywall or new license takes effect. We will make the applicable license or paywall status reasonably clear in the Community interface.
Taku will maintain a record of the published version and its selected license. An acquisition record, where available, is evidence of the license applicable to that acquisition, subject to correction if a Creator or user demonstrates an error. A later update is a separate version and does not change the license applicable to a previously obtained copy unless the user accepts the change or the displayed license expressly provides otherwise.
This section also identifies the continuing terms for a prior copy validly acquired under the same license. It does not retroactively relicense an old copy, cure an unauthorized grant, or authorize access to material removed for legal or security reasons.
4. Other Licenses and Previews
A Creator may offer an available custom license only to the extent it has the necessary rights. The license applicable to a version must be visible before acquisition. Open-source licenses continue to govern their covered components; these Marketplace Terms do not narrow their granted rights or waive their conditions.
A free price does not itself establish the right to obtain source code, remix, redistribute or commercially exploit content. If a release does not identify its distribution license, do not assume those rights. Report unclear or conflicting license information to support@taku.ai.
A preview grants only the ability to view or interact with the preview as provided. It is not authorization to extract a private package, bypass an access restriction or copy a source repository. Copyright exceptions and rights granted by an applicable open-source license remain unaffected.
5. Installation, Permissions and Updates
Before enabling a Skill or Agent, review its Creator, displayed license, permissions, data practices, dependencies, costs and requested connections. You authorize the Listing to operate only within the permissions you grant. You remain responsible for reviewing its Output and Agent Actions and for deciding whether it is suitable for your data, accounts and intended use.
A Skill or Agent may access User Content, Agent Memory, Connected Credentials or third-party services only when the applicable permissions and feature settings allow it. Some functionality may stop when you revoke a permission, disconnect an account, pin an older version or remove the Listing.
Unless the Creator or separate terms expressly promise support, updates or continued availability, none is guaranteed. Removing a Listing prevents new access but does not automatically revoke a valid license to copies previously obtained, except where access must be disabled to address malware, compromised credentials, unlawful content, sanctions, infringement or another serious security or legal risk.
An update may change behavior, dependencies, resource use or compatibility. Review the changes and any new permissions. Material expansion of data access or permissions requires new approval before it becomes active. Removing a Listing or disconnecting an account stops future use within the applicable controls but does not undo actions already completed or delete all information already sent to a Creator or external service. Their applicable retention duties and your legal rights continue.
Review generated Output before relying on it and supervise actions that could publish material, modify files, send messages or incur charges. A Listing's request for a permission does not establish that granting it is lawful or appropriate for your workplace or third-party data.
6. Marketplace Purchases Using Credits
Where a Listing offers a Credits purchase, review its provider, license, supported version, permissions and displayed price before confirming. Taku operates the Credits deduction and access-entitlement service; the Creator or identified rights holder supplies the content license described in Section 2. Buying access does not transfer ownership of the content or grant rights beyond the applicable license.
Confirming a purchase authorizes Taku to deduct the stated Credits from your account. The App purchase flow is a one-time acquisition of an account entitlement, not an automatic subscription. Any separate hosting, model usage, Taku subscription or third-party service charges remain subject to their separately disclosed terms. A changed price requires a fresh price confirmation; insufficient Credits or a rejected purchase must not be treated as successful payment.
An active entitlement allows supported re-downloads without buying the same App again. Availability remains subject to supported versions, compatibility, security and lawful removal; it does not guarantee perpetual hosting or updates. Merely uninstalling an App does not reverse its purchase. Do not purchase again solely because installation failed: first retry with the same account or contact support@taku.ai.
For a duplicate or incorrect deduction, missing entitlement, failed delivery or materially nonconforming Listing, contact support@taku.ai with the App identifier, account email and approximate transaction time. Taku will investigate the transaction and provide an appropriate correction or remedy required by the applicable purchase terms or mandatory law. Credit restoration and any refund of a separate cash purchase are distinct remedies; this section does not promise that Credits can be cashed out. The Service Terms' refund provisions apply subject to these transaction-specific rules and nonwaivable rights.
Creator Credit allocations do not create a buyer right to a Creator's earnings or authorize additional charges. New recurring Marketplace charges, cash settlement or materially different transaction types require disclosure and any required separate agreement before they are enabled.
Off-platform transactions are between the participating parties. Taku does not become their seller, payment agent or guarantor merely by providing a Listing link. Nothing restricts nonwaivable remedies concerning Taku's own conduct.
7. Safety, Removal and Reports
Taku may scan, test, quarantine, delist or disable a Listing within its control where appropriate under the Service Terms. For urgent security, privacy or legal risks, action may occur without advance notice. Where practicable and legally permitted, Taku will notify affected users and Creators and provide an appeal under Service Terms Section 4.3. Scanning cannot detect all vulnerabilities or subsequent compromises.
Delisting generally stops future distribution and does not erase an existing valid intellectual-property license. It also does not guarantee perpetual hosting, updates or access to unsafe or unlawful content. Mandatory remedies remain available where applicable.
Send copyright notices to the contact and process in Service Terms Appendix B. Send requests concerning nonconsensual intimate images under Appendix D; no Taku account is required to request removal. For other illegal, misleading, privacy-invasive or unsafe content, email support@taku.ai with the Listing identifier and a description. Do not send exposed credentials or unnecessary copies of sensitive content.
8. Discovery and Activity Data
Search and recommendations may consider relevance, compatibility, activity, reliability, recency, safety and the other factors described in current product documentation. Placement and availability are not guaranteed. Taku may include its own Listings; they must identify their provider and applicable terms. Paid promotion, if offered, must be identified as required by law.
The Privacy Policy explains Taku's processing of browsing, acquisition and usage data. Optional analytics choices are distinct from acceptance of these Marketplace Terms. Creators may receive aggregated analytics made available by Taku, but these terms do not authorize them to identify users from aggregate reports or use private data for undisclosed purposes.
9. Common Rules, Changes and Contact
Service Terms Sections 10–20 and their appendices govern common content policies, termination, export controls, disclaimers, liability, indemnity, legal changes and disputes, subject to applicable mandatory rights. This document does not create an additional waiver of those rights.
Changes follow Service Terms Section 16. A new Marketplace version does not retroactively revoke rights validly acquired under an earlier release license. Taku must obtain additional acceptance where required by law or when introducing materially different transaction terms.
