Existing users who have not accepted this version remain subject to the previous terms and the notice process in Section 16 of the Service Terms. Previous Service Terms.
1. Agreement, Scope and Eligibility
These Publisher Terms are between you and Taku AI Inc., the entity identified in the Taku Service Terms. They apply to Taku Publisher's hosted features, including authenticated CLI or plugin connections, artifact uploads, publishing drafts, review, transformation, release submission, updates and distribution. They also apply when equivalent publishing actions are initiated from Taku Desktop or another Taku interface. Separately licensed local software remains subject to its included license.
You must be at least 18 years old, have reached the age of majority where you live, meet the Service Terms and have authority to act for any organization or rights owner you represent. Before using these hosted publishing features, you must affirmatively accept these Publisher Terms and the Service Terms. A token, connected account, imported repository or successful security scan does not establish ownership or permission to publish.
These Publisher Terms incorporate the Service Terms, including their definitions, Acceptable Use Policy, DMCA Policy, Refund Policy, TAKE IT DOWN Removal Policy and applicable Data Processing Addendum. The Privacy Policy describes Taku's processing. The Marketplace Terms specify the rights granted to recipients. These Publisher Terms control a conflict about publishing; the Marketplace Terms control a conflict about recipients' Listing licenses. Neither overrides mandatory law or an applicable third-party license.
The Service Terms include limitations of liability and a U.S. arbitration agreement with a 45-day opt-out. Read Sections 13–18 before accepting. Acceptance of these Publisher Terms does not restart, reverse or withdraw a valid arbitration opt-out.
2. Your Content and Control Over Publication
You retain your rights in your content. Taku acquires no ownership merely by importing, reviewing, converting or distributing it. AI assistance cannot give you rights that you or the source author do not have.
A local scan or imported project is not permission to upload every file. Before uploading or publishing, review the selected package, included assets, dependencies and destination. Keep credentials, private keys, personal information and material you are not authorized to disclose out of the submission. A draft remains unpublished until you or an authorized collaborator instruct Taku to publish it. Private source material, unrelated files, prompts, Agent Memory and Screen Capture Data are excluded unless separately and intentionally selected with authority to publish them.
3. Limited Processing and Distribution Rights
For material you submit to hosted Publisher features, you authorize Taku and its service providers to store, reproduce, inspect, scan, execute in test environments, and make technical transformations reasonably needed to prepare and review your requested release. These rights apply to submitted material only and are subject to third-party license restrictions. A successful conversion does not certify legal compliance, security or fitness for use.
When you affirmatively publish a release, you grant Taku a nonexclusive, worldwide, royalty-free license to host, cache, reproduce, format, display and distribute the selected public artifact and listing information through the Community and Marketplace. Taku may use the public title, icon and screenshots to identify and feature that Listing. This is not permission to use private project material in advertising, to imply your endorsement of another product, or to use your trademarks beyond identifying and presenting your Listing.
Taku may sublicense these operational rights only to providers performing the described functions. The distribution grant lasts while the release is available. After removal, Taku may retain limited copies for backups, security, dispute evidence and legal obligations under the Privacy Policy, and may support rights validly obtained by recipients before removal. This provision does not authorize new promotion of a delisted release. Required removal of unlawful content takes priority.
These licenses do not independently authorize generalized AI-model training. The Service Terms and Privacy Policy, including their exclusions and choices, govern any such use.
4. Source Rights and the License You Grant Users
For each release, you must distinguish (a) the licenses and permissions under which you obtained source components and (b) the distribution license you are authorized to grant recipients. An SPDX identifier or repository license does not establish rights in every included image, dataset, model, trademark or other asset.
Before publication, review and expressly select the recipient license displayed for that release. If you select the Default Community License, you grant the rights set out in Section 3 of the Marketplace Terms, including the described commercial and remix rights. Taku must not infer that choice merely from a free price or an empty license field. A custom license must be available to users before acquisition and may not conflict with rights of third parties or mandatory law.
The selected license applies to the identified release. A subsequent update or license change does not revoke rights validly acquired under an earlier version. You may not purport to relicense third-party material beyond your authority. Retain required notices and supply source or source offers where required by applicable open-source licenses. If you cannot identify a lawful distribution basis, do not publish.
5. Listing Accuracy, Security and Privacy
Listings may consist of or incorporate software released under open-source licenses. A Creator must identify the license that applies to each material open-source or third-party component and comply with its attribution, notice, source-availability, copyleft and redistribution requirements. If a displayed or included open-source license applies to a Listing or component, that license controls the use of that material and Taku does not replace, narrow or expand it through the Default Community License.
A Creator who submits or publishes a Listing represents and warrants that:
- the Creator owns or has sufficient rights to publish it and grant every displayed license;
- the Listing, description, screenshots, permission disclosures and pricing status are accurate and not misleading;
- the Listing does not contain malware, hidden surveillance, credential theft, undisclosed advertising, intentionally deceptive behavior or code intended to bypass Taku safeguards;
- no password, private key, access token, personal data or other secret is embedded in the Listing;
- all material third-party and open-source code, models, datasets, media and dependencies are identified and used in compliance with their licenses and terms, including any required notices or source-code disclosures;
- the Listing does not infringe rights or violate law, these Publisher Terms or the Acceptable Use Policy; and
- the Creator will maintain a reasonable channel for legally required notices concerning the Listing.
Creators must disclose whether a Listing sends data to the Creator or another third party, the categories of data involved, external accounts or services used, material limitations, recurring costs and permissions reasonably required for operation. A Listing may request only permissions reasonably related to its described function.
If a Creator receives or can access a user's User Content, personal information, Agent Memory or Connected Credentials through a Listing, the Creator may use that information only to provide the Listing's clearly disclosed functionality. The Creator must maintain reasonable safeguards, provide any legally required privacy notice, delete information when it is no longer reasonably needed for the disclosed function, and notify Taku promptly of a security incident affecting Taku users. A Creator may not sell that information or use it for unrelated advertising, profiling or AI-model training unless the user has received clear disclosure and provided any separate consent required by law.
Creators remain responsible for their Listings, updates, support commitments and interactions with users. Publication, scanning, ranking, featuring or a Taku badge is not an endorsement, certification or warranty unless Taku expressly says otherwise in writing.
Do not submit a child-directed or COPPA mixed-audience service, or one knowingly collecting personal information from children under 13, without the separate written authorization required by Service Terms Section 2.1. Your users' permissions and privacy notices must match the actual behavior of the Listing and its external services.
6. Updates, Permissions and Review
You are responsible for the accuracy and rights of each updated release. Review changes to included content, external services, costs, privacy practices and permissions. A material expansion of data access or permissions requires new user approval before the expanded capability is enabled. A previous approval or scan does not approve a later artifact automatically.
Taku may inspect and test submitted releases, reject a submission, require corrections, quarantine material or restrict distribution for security, privacy, rights or policy reasons. Review is a safeguard and is not a warranty or certification. You remain responsible for support commitments you make to users and must notify Taku promptly of material security or rights issues.
7. Removal, Termination and Appeals
You may request removal of your Listing from future distribution through the publishing controls available to you or by contacting support@taku.ai with the Listing identifier. Removal does not retroactively revoke lawfully granted licenses. An actual copyright, privacy or security issue may require removal of hosted copies and disabling access even when a recipient previously obtained a license.
Taku may remove a Listing, disable hosted or installed functionality within its control, revoke Taku-managed connections or require an update when reasonably necessary to address a serious security, privacy or legal risk. Where practicable and legally permitted, Taku will notify you of the action and provide the appeal process in Service Terms Section 4.3. Nothing guarantees continued distribution of unlawful or unsafe content.
Copyright notices and counter-notices follow Service Terms Appendix B. Nonconsensual intimate image requests follow Appendix D and are not subject to a copyright counter-notice waiting period. Other content appeals may be sent to support@taku.ai with the subject “Content Appeal.”
8. Fees, Marketplace Transactions and Analytics
Fees for Taku's own publishing, hosting, compute or other services, if offered, are governed by the Service Terms and the price disclosed before purchase.
Where you expressly publish a Listing at a Credits price using supported pricing controls, you authorize Taku to offer that Listing at the confirmed price, deduct the buyer's Credits, record the resulting account entitlement and provide access under the license selected for that release. Listing content rights remain with the applicable rights holders. Changing the price does not revoke previously valid licenses or authorize a second charge for an existing active entitlement.
Supported transactions may allocate Credits to the Publisher and eligible source contributors according to the applicable allocation configuration recorded for the transaction. Allocation previews are estimates; account records reflect completed allocations, while unclaimed or unresolved allocations may be held pending attribution or verification. This agreement does not fix a universal commission rate, guarantee sales, establish a cash exchange rate or promise cash payouts. Any future cash payout program requires separately disclosed eligibility, verification, tax, fees, settlement, reserves and dispute terms before participation.
You must not misrepresent ownership, price, functionality or license rights. Cooperate with billing-error, delivery, infringement and refund investigations. Taku's obligations to buyers and their mandatory rights are not displaced by a Creator allocation. These terms do not retroactively authorize an undisclosed deduction from your account; any reversal or adjustment must have a disclosed contractual or legal basis.
Available analytics may be aggregated, estimated, delayed or incomplete. Use them only for legitimate product and support purposes; do not attempt to identify users from aggregate reports. Visibility or ranking is not guaranteed. Sponsored placement, if introduced, must be identified as required by law. Taku's own Listings remain subject to applicable disclosures about their provider and rights.
9. Common Legal Rules, Changes and Contact
Service Terms Sections 10–20 govern illegal content, termination, export controls, disclaimers, liability, indemnification, changes, governing law, disputes and general provisions. They apply subject to mandatory rights and the scope of this agreement. The additional Publisher obligations do not enlarge any disclaimer or indemnity beyond what applicable law permits.
Material updates follow the notice process in Service Terms Section 16, and Taku will obtain new express acceptance where required. A new version does not retroactively change a completed release's recipient license. Obligations concerning prior distributions, valid licenses, confidentiality, legal retention and accrued disputes survive as appropriate.
